Terms of Service

These terms govern your use of Spendbase, operated by Digital It Up. By using the service you agree to these terms.

1. The service

Spendbase is a subscription and expense tracking platform for agencies. We provide the software on a subscription basis. The service is provided "as is" — we aim for high availability but do not guarantee uninterrupted access.

2. Your account

You must be 18 or older and using the service for business purposes. You are responsible for keeping your credentials secure. You are responsible for all activity that occurs under your account. One person may not share login credentials with multiple people — each user must have their own account.

3. Workspaces and teams

Each workspace represents a distinct organisation or client account. The owner of a workspace is responsible for the data within it and for ensuring team members comply with these terms. You may not use Spendbase to store data on behalf of third parties without their consent.

4. Acceptable use

You may not use Spendbase to: store or transmit illegal content, attempt to gain unauthorised access to other workspaces or systems, reverse-engineer or copy the service, resell or sublicense access to the platform, or send unsolicited messages through the invitation system.

5. Billing and payments

Paid plans are billed in advance, monthly or annually. Payments are processed by Razorpay. Prices are displayed in your local currency based on your timezone. We reserve the right to change pricing with 30 days' notice. Refunds are not provided for partial billing periods. If a payment fails, your plan will be downgraded to Free after a 7-day grace period.

6. Free plan limits

The Free plan supports 1 workspace, up to 10 subscriptions, 1 project, and 1 user (owner only). We reserve the right to enforce these limits at any time. If your usage exceeds Free plan limits, you will be asked to upgrade or reduce usage.

7. Cancellation

You may cancel your subscription at any time from the Razorpay portal. Cancellation takes effect at the end of the current billing period — you retain full access until then. Deleting your account removes all your data permanently. We cannot recover deleted workspace data.

8. Intellectual property

The Spendbase software, design, and brand are owned by Digital It Up. Your workspace data is yours. You grant us a limited licence to store and process your data for the purpose of providing the service. We do not claim ownership of data you enter.

9. Limitation of liability

To the extent permitted by law, Digital It Up is not liable for indirect, incidental, or consequential damages arising from your use of Spendbase. Our total liability is limited to the amount you paid us in the 3 months preceding any claim.

10. Indemnification

You agree to indemnify Digital It Up against claims, damages, and costs arising from your violation of these terms or your use of the service in a way that causes harm to a third party.

11. Governing law

These terms are governed by applicable law. Disputes will be resolved through good-faith negotiation first. If unresolved, disputes will be subject to binding arbitration.

12. Changes

We may update these terms. Material changes will be communicated by email to workspace owners at least 14 days in advance. Continued use constitutes acceptance.
